We see 2022 as a year of potential growth and stability higher than in recent years. Here are some key topics to consider for the family business.

Diversification-led Acquisitions

Although the pandemic is a constant business problem, diversification has been a top priority for many families. The hard lesson that having all of their wealth depend on one sector’s performance can lead to a substantial dividend squeeze has led many families to diversify their business assets in 2022.

Many families will buy businesses in different sectors to their legacy businesses, which can provide a better return on investment and a small number of exiting legacy industries.

Acceleration of succession

Digital pandemic has brought digital to the forefront of attention, raising questions about the skills required to transform businesses and lead them into the future. We are now seeing an increase in current leaders recognizing their mortality and seeking a new work-life balance. Some families are now focusing on succession planning and leadership development, whether they retire earlier or take a step back in the business. These themes will be reflected in the next year’s trend of family members taking over the company’s leadership.

Reacting to a growing shareholder base

The shareholder pool can also grow as a family becomes more complicated due to children, divorce, and remarriage. These are becoming too many for the business to finance. Families will need to manage the dividend policy and who can become an owner.

Some people are trying to rationalize ownership by ‘pruning policies,’ limiting the right to the immediate family, or buying out non-active family members.

The business can also grow. Sometimes the family may transform the company to increase its profitability and operational efficiency. But, in most cases, organic growth will be pursued. This is another driver of the M&A trend that we expect to see.

Exits

We will advise on more exits in the following year than ever before. I attribute this to pandemic-related decision-making. A more significant proportion of the next generation will prefer to start a business from their family’s wealth than join the family company. This can lead to a sale of a business and the subsequent establishment of a family office. This allows the primary investment in the next generation and the possibility to use the remainder of the proceeds in other areas.

The S in ESG

Family businesses can leverage their performance in the social element of ESG to outperform others. Because they have a strong sense of purpose and identity, their judgments about success often include socio-emotional wealth and philanthropy. Research suggests that employees were more likely to stay with their employer if they had a broader family ethos than other owners. These strengths will be increasingly commercial assets, along with those relating to the E and G. They will help secure capital and talent.

Attracting and keeping talent

Family firms must be more precise about the employee value proposition to stay ahead of the competition in talent acquisition.

Executives may face competition from equity-based firms for top talent. Long-term incentive plans and phantom equity programs could help them stand out. Strong messages about their positive culture, progress, flexibility, appreciation, and professionalism will increase employee attraction and retention. A strong ESG strategy will also help. Employers are looking for work environments that allow them to continue their education and offer satisfying working conditions.

Wealth creation outside the collective

Families in business are looking at how to pass on multi-generational wealth. They want to fund both current-gen retirements and later gen lifestyles. Many times, after decades of family wealth, which is almost entirely tied to the business, shareholders realize that they need independent wealth.

It is a significant shift for some families to stop reinvesting the majority of the profits and start ensuring that a substantial dividend is paid to family members to create independent wealth. We’ll see families take on debt or even exit partially to allow wealth transfer outside of the family business.
